Calling a meeting late can invalidate the decisions made at it. UK private companies — including resident management companies — must give the right period of notice, and that notice is usually measured in clear days. This calculator works backwards from your meeting date to the latest day you can safely send notice.
What 'clear days' means
Clear days exclude both the day notice is given and the day of the meeting. So 14 clear days' notice means there must be 14 full days in between. The default notice period for a general meeting of a private company is 14 days, but your articles of association may require 21 — always check them.
Allow time for delivery
If you post notices, they are generally deemed delivered 48 hours after posting. Tick the postal allowance to build in two extra days so you do not fall short of the required period.
How to use it
- 1Enter the date of your AGM or general meeting.
- 2Choose 14 or 21 days, depending on your articles.
- 3Leave clear days on (this is the usual rule) and add the postal allowance if you send by post.
- 4Send your notice and agenda on or before the date shown.
